Business Law, as a doctrinal legal area, embraces many distinct branches of the law and revolves around those branches of the law that make up the composition of the operations of a business, starting at its start-up, to its dissolution, and beyond to the area of bankruptcy. This LibGuide will focus solely on business entities or organizations and the resources that those researching business law topics will encounter in future practice.

 

In its nascent or beginning stages, "...business law involves the selection of a business entity, whether sole proprietorship, partnership, limited liability corporation (LLC); or corporation or S-corporation.  The primary aim of this process is to shield its owners from individual liability.  This will involve filing necessary documents with the Secretary of State of the state in which the business is organized, as well as the city or town in which the business is situated.  Businesses that are expected to collect sales tax must also register with state taxing authorities."
